Overview

The Interim Exit Support Consultant will play a pivotal role in overseeing and managing a high-profile sale-side transaction for a leading private equity-backed software business. This hybrid position involves close collaboration with the CFO, CEO, Board members, and shareholders to ensure the successful execution of the exit process, and requires extensive experience in leading complex private equity exits.

Responsibilities

  • Lead the overall programme management of the sale-side transaction.
  • Own and coordinate all deal workstreams, ensuring milestones and deadlines are met.
  • Collaborate closely with the CEO, CFO, and executive leadership team throughout the process.
  • Act as the central point of contact for legal, finance, commercial, tax, HR, technology, and operational workstreams.
  • Manage relationships with external advisors such as investment banks and legal counsel.
  • Drive exit readiness activities, ensuring high standards for data rooms and documentation.
  • Identify risks and dependencies, providing regular updates to senior stakeholders.
  • Balance transaction demands with day-to-day operational priorities, maintaining momentum across the business.

Requirements

  • Proven track record in leading successful private equity-backed sale-side transactions.
  • Experience with large, complex exits involving enterprise values over £1bn.
  • Strong programme management skills, capable of coordinating multiple workstreams.
  • Ability to operate at Board, C-suite, and investor levels.
  • Excellent stakeholder management skills with the capacity to influence outcomes.
  • Background in software, technology, or fast-growth private equity-backed businesses is preferred.
